Our history Sandeep Jaswal and Tony Johnston brought their combined legal experience together in 1998 to form Jaswal Johnston LLP in the heart of London’s West End. Senior executives move on to other organisations, or retire. In every case, looking ahead is vital and this requires sound strategic advice, meticulous planning and detailed legal agreements. The Jaswal Johnston Corporate team works collaboratively with UK and international corporate Boards to help them through every step of these processes. • Franchises and contracts Franchise and distribution agreements are complex, particularly if they involve multiple franchisees or organisations. Clients have turned regularly to Jaswal Johnston to create master franchises - from which individual franchise networks are born - or purchase franchise agreements on their behalf. Distribution arrangements for the film, fashion and IT sectors have included multi-national negotiations to ensure all parties are appropriately represented in legal and financial documents, including Heads of Agreement and binding contracts. • Property Many transactions involving properties in prime Central London are conducted through the purchase and sale of offshore entities which own them. Working in conjunction with the real estate team and our extensive network of foreign legal advisers, Jaswal Johnston corporate specialises in the acquisition and disposal of offshore companies owning properties ranging from £2.5M up to a recent transaction at £50M • Dispute resolution and arbitration Wherever possible, Jaswal Johnston will help clients avoid costly court appearances to resolve commercial disputes - whether relating to financial or contractual agreements. The intention is to resolve matters through direct negotiation but, on occasion, arbitration organisations may also become involved. In some major cases, Jaswal Johnston clients have been represented in the London Court of International Arbitration. • Test cases and litigation There are some legal disputes which can only be resolved by taking the matter before a judge. Jaswal Johnston has built a reputation for working with particularly complex, unusual or legal ‘test’ cases, often involving international organisations or individuals living abroad, and usually for claims of £1m or more. Some of these have subsequently been written into UK case law and, as well as the High Court, clients have been represented in the Court of Appeal and the House of Lords.
