The SKIL business and brands of Bosch has been on-going in multiple jurisdictions across several continents, including North America, Europe and Asia, and has been fully integrated in the Seller’s business in terms of the supply and distribution chain and many other aspects such as sharing of site and manufacturing process. The acquisition therefore involves not only regulatory issues in various jurisdictions but also challenge to lawyers for drafting the transaction agreements to carefully cover all aspects of the unconventional deal. The complexity of this transaction is also marked by its multiple closings. The closing of the deal in North America and China occurred at the end of 2016, and in Europe and other jurisdictions in March 2017.
